Jon,

The way I read the press is:

Zulu is acquiring shares of Omni-net and shares of BFL from ESVS with Zulu stock. (Okay that's simple)

Shareholders of ESVS will receive one share of Zulu for every share of ESVS stock they have. (Okay that's simple enough too)

Zulu will then own all the shares of ESVS plus all their assets (minority interest in BFL, Omni-net.com + all outstanding shares of ESVS). ( That's seems pretty clear).

This implies to me that Zulu is rolling ESVS + assets under Zulu. Zulu will then become the surviving entity with shares of BFL + Omni-net.com + Zulumedia + Echomedia + Mediabank.
