This probly helps (knowing that OMKT/LCOS intact) Lycos Doesn't Expect Any Changes in USA Networks Agreement New York, March 16 (Bloomberg) -- Lycos Inc., the No. 3 Internet search navigation company, doesn't expect any changes in its acquisition agreement with USA Networks Inc., a top Lycos executive said. Lycos expects to file a proxy statement next week with the Securities and Exchange Commission, said Thomas Guilfoile, Lycos vice president of finance, seapking at a PaineWebber Internet conference. He declined to comment on recent statements from CMGI Inc., Lycos' largest shareholder, which is interested in seeking other bidders for Lycos. New York-based USA Networks agreed in February to acquire Lycos to combine its home-shopping, online-ticketing, auction and other businesses and create an electronic-commerce powerhouse. CMGI Chief Executive David Wetherell resigned from Lycos' board in protest over the transaction, calling the terms inadequate. Andover, Massachusetts-based CMGI, which has an 18.5 percent stake in Lycos, hired Morgan Stanley Dean Witter & Co. to find buyers other than USA Networks. A CMGI executive this week said other potential buyers are interested in Lycos. Framingham, Massachusetts-based Lycos rose 2 to 107 3/4 in late trading.
