Morning Vic,

You, Jon and Sam have certainly been in a very thoughtful and reflective conversation this morning. Let me throw in my two cents if you please.

It seems to me that one sign of a good management team is its ability to "self analyze" honestly and accurately. The result would hopefully result in a realistic picture of the company's current strengths and weaknesses. The next step should then be to eliminate the weaknesses. This might well mean better utilizing the talents of current personnel, (very cost effective) and, as funding permits, bring on board the additional talent required to effect positive change in the performance of the company. The trick, of course, is to avoid hurting the "chemistry" that got you this far!

There are certainly people out there that specialize in helping "up and coming" start-ups make the transition from "great potential" to actual success, when the company is positioned just on the verge of such success. (And I believe that this "just on the verge of" positioning has attracted many investors, including myself, to MRPS.)

A serious hazard to the management team can be the natural human adversity to change. "Comfort zones" based on familiarity can be powerful negative forces when it comes to needed improvements to current performance. Overcoming the underlying fear of the unknown (and of failure) seems to be a major factor in making a management team successful in leading a company through this transition. (General Electric's CEO, Jack Welch, it seems, has been highly successful, over the last decade, because he seeks to constantly "reinvent" the company while preserving the fundamental elements and philosophy that made it a success in the first place.

Microphonics seems to be at just such a crossroads now, having made some great moves and some foolish mis-steps (but hindsight IS 20/20).
We will know shortly whether the leadership and vision of the current team results in the desired transition to the next level of success.

P.S. Vic, have you considered sending Jimmy your resume? Gee, if you've got some free time and want to protect your investment....
