Las Vegas Internet Partners (LVIP) is a diverse golf marketing company that offers a variety of golf products, golf travel and other services though internet transactional systems. Golfers guide is a golfers resource guide featuring detailed information on golf courses, hotels, real estate and other businesses in major golf resort areas. Under the terms of the agreement, both parties have agreed to leverage each other's strengths for mutual benefit on a variety of specific projects. They include but are not limited to: -- LCS Golf Web sites of Play Golf Now and GolfUniverse.com will provide a link to the LVIP world wide reservation system that allows visitors the ability to book air, hotel, car and golf reservations. All reservation commissions earned will be split evenly between the partners. -- Capitalizing on a relationship with world renowned golf instructor Butch Harmon, LVIP will arrange for a link in the form of a banner between the Web site of GolfUniverse.com, Play Golf Now and the Butch Harmon's Web site (ButchHarmonGolfSchools.com) Upon entering the site, visitors will be able to get free golf tips and be allowed to register to win prizes. -- Golfers Guide, with a circulation of 4.1 million and a readership of 10.2 golfers is the most widely read golf publication in North America. Golfers Guide will provide advertising space whereby Play Golf Now and GolfUniverse.com will market the Play Golf Now membership card. Revenues generated from the sale of memberships through Golfers Guide will be shared on an equal basis. -- LVIP will provide GolfUniverse.com and PlayGolfNow.com with access to merchandise from GolfCloseouts.com (www.golfcloseouts.com). GolfCloseouts.com is a Web site jointly owned by LVIP and Golfers Guide that offers extreme reduced prices on excess golf inventory. LCS Golf's new wholly owned subsidiary, Golf Promo Inc. and its 3.2 million golfer database will be utilized to direct market the site which has over 150 different products. GolfCloseouts.com will be online and e-commerce active by the end of March 1999. -- Tee Time Block Golf Reservation System -- LVIP has new online reservation system whereby the golf course can display tee time availability and an individual can schedule and pay for a tee-time. LVIP will be providing this system capability to GolfUniverse and Play Golf Now. Play Golf Now will market this capability to their network of golf courses. Golfers Guide will help promote this online system in their publication. Fees shared from the sale of tee-times will be shared on an equal basis.
