It may be that Paul Allen is a normal Joe that extremely lucky in meeting the likes of Bill Gates. It wouldn't be the first time a genius, of sorts, brought others into great wealth. It may be the case that PA "gets board" after awhile. Neither case makes me feel particularly good about Go2net/PA partnership 10 years from now.

However, I am curious about the terms of the preferred stock. Cash is good. How does that work? What are the terms of the agreement? What is the principle and conversion factors. If the preferred's are converted, why wouldn't this dillute equity? Thanks for your input, everyone. Can he rescind the deal in any way?

IMHO, since PA is sticking to his guns, I think we will see this fall some over the next few days. 115 is more than a 25% to 90/share offer.
