they can do the spinoff and own retain a % ownership of the shares. they can not own the company, and avoid the sale tax and drain on profits without some sort of spinoff to make cpudirect a new company, not owned by cpu. there will be a spinoff, notice there is no, none, zilch, information to back up the assertion of no ipo, which is a direct contradiction to what cpu has disclosed.
