Just a guess but maybe to compensate reddi-form and possibly others for failure to execute (or complete). Then again, insurance would probably cover this.

What are all the shares being issued into the float for? (It appears to be more than EUTO's stated outstanding liabilities and EUTO shouldn't be paying IVY to take over their public company)

In the case of IVY and EUTO, here are my questions...

What is IVY paying for the shell? Do they have to buy insider shares and more to have a controlling interest?

My guess is they are paying cash and gaining all or most of the shares in EUTRO. I do not know however.

Will the Wilkenson's still have shares in the merged shell and what percentage? Will they be on the board of the "new" company? Are they being personally compensated for this reverse merger?

No they will not be on the Board but will probably hold shares what % I do not know....

Either to give EUTRO/IVY a controlling interest so a proxy vote becomes a formality or to raise funds...My guess is to get 51% of the shares outstanding so a vote is garenteed to go their way. With the vocal nature of some of eutros shareholders they wantd to make sure the controlled the float befor IVY takes over.

If the new shares are not being traded for cash by EUTO, then where are they going and under what situation is a company allowed to just gives shares to someone?

If you want to forget all the past with EUTO, I still think there is a lot here about this reverse merger that doesn't make sense. I personally do not think this deal will ever really go through, but allowing for the possibility that I am wrong, perhaps you can give me your understanding of how this works.

Thats my take on the whole thing.....Eutro got caught , the laws changed makeing their bussines plan non viable so they found a way to back out of the shell and still leave a viable company behind. Hey they could have told us all to get screwed and just declared BK and let the stock get delisted....Instead we have a new start without Floyd and Co....
