CC Investments, LDC is selling 1,702,583 shares of Valence common stock issuable to CC Investments upon the conversion of preferred stock and exercise of a warrant issued to CC Investments in a private financing.

Gemini Capital, L.L.C. is selling 87,500 shares of Valence common stock issuable to Gemini Capital upon the exercise of a warrant issued to Gemini Capital in connection with the private financing.

Valence is not selling any shares of its common stock under this prospectus, and will not receive any of the proceeds from the sales by CC Investments and Gemini Capital.
