Dear Hlpinout: OK, your post leads into a question I would like to ask the board for help on. Just received CPQ's proxy and proxy statement last night. Wondering how I should vote. Here are my questions: 1. Board of Directors--Considering the size of CPQ I am UNDERWHELMED by this Board. Look to me like a bunch of YES PEOPLE. I see no one who really stands out as a creative thinker?? What do you think? 2. Requesting approval for a 25 MILLION share employee stock purchase plan. Basically allows SELECTED employees to buy stock at 85% of market. My concern is seems to me that this just aggravates the situation of employees SELLING at the inappropriate time for the rest of us shareholders. I see nothing in it that would cause them to BUY AND HOLD. Looks like just another bonus type plan. What do you all think? JDN
