The existing shareholders always benefit. Either the shareholders get shares of the spinoff, or the company gets the shares and the shareholders benefit through increased value to the company. If the individual shareholders get the shares, you would see a decrease in the value of the original IDTC stock to recognize that IDTC no longer owns the Net2Phone part of the business.

Theoretically, it is irrelevant. In an efficient market the value should be equal. Practically, I'd rather have shares in the spinoff. Since Howard Jones owns 4.7 million shares, I'm sure he feels the same way I do. You can bank on additional shares being issued directly to the existing shareholders for the spinoff.

Peter, I was watching IVIL with great interest yesterday, thinking about Net2phone.

Since Jonas owns a lot of IDTC, I suspect that shareholders will indeed get a piece of the spinoff. Shareholders receiving shares would do a good bit for the price of IDTC and IDTC management knows that. They have talked repeatedly about unlocking shareholder value. I would guess the ratio would be in the range of 1:5, but it is complete speculation.
