Outstanding shares confirmed by d'Amaro: 10 Millions

On 11/28/98 they only had 5,403,972 shares outstanding. According to your calculations which you say were confirmed by DiAmaro their are now 4,596,028 more shares outstanding. Sorry buy those shares where probably issued in a reg s offering. Usually pennies on the dollar and free trading within 40 days because they were sold to offshore entities. That is allot of shares that someone could sell for instant profits. You should call DiAmaro up first thing on Monday and ask him how they were issued. 10, 20, 30 cents a share? I have the shareholder list as of 11/28/98 and faxed a copy to Eric, so my figures for that date are correct. The company had done 6 reg s offerings prior to this date. These are facts not fiction. The company had said in their business plan that they needed to raise 3 million in equity in 1999 and 7.5 million in equity in the year 2000 to meet those projections that you had stated so I think your P.E. ratio's are a little off if you do not factor this in. The SEC also passed new laws in January that will slam the door shut and SFLK will not be able to do those reg s offerings soon. I believe the last date is the end of March.

Lets just hope that sflk raised the money they needed for 1999 and 2000 with the sale of the 4+ mil shares of stock. As you know this resulted in approximately 66% additional dilution of the stock. However,IMO I do not believe that 10 mil shares is excessive for a company with the potential that SFLK has.

I agree for the most part with your current appraisal of the situation with sflk today. However, trading volume has continued to decline as investors lose interest and become impatient with sflk due to the SEC inquiry. This SEC inquiry needs to be resolved favorably and quickly or I'm afraid the stock will continue to decline until such time. I'm betting it will eventually be resolved favorably but it could take several more weeks. However, there could be problems that might surface which could hurt the company. There are no guarantees, this is what makes a horse race.
