I just browsed the registration statement 233-15247. It has to do with the issuance of 12,600,000 shares pursuant to the merger with Intuit Services Corp. They made one filing on Oct. 31, 1996 and amended it on Dec. 12, 1996.

Maybe Mr. Gintel can shed some insight.

Sam (FWIW)

For those who don't understand "wholesale CheckFree's E-Bill", I think I do. PNC provides lockbox service to medium size billers, this agreement will allow PNC to market E-Bill to those billers and share revenue with CheckFree. Please correct me if I'm wrong.

Thanks,

Benny
