Jeff,

I agree with your comments. I am against the poison pill also. Though do not tough my G*. It should stay as is until operation. I do not want it being bought.

However, I do think LOR need more help to get other things going. It was too weak in term of financing support.

Brina H.

1. The pay raise for Schwartz was effective 3/1/98, when the stock was much higher than it is now, and pre-China, pre-Zenit; I suppose the paper losses he's incurred as a result of the above outweigh by a factor of at least 10 his increase in salary. Anyway, it's pretty clear to me that Schwartz and the other top guns got big raises to preserve parity with G. Clark, who was hired in (early last year) at a big premium with respect to M.Targoff's old salary. Maybe Clark is overpaid, but I assume the company did some DD before hiring him at the price it paid.

2. Regarding the new preferred stock, It's not clear the main purpose is as a poison pill as opposed to a normal financing tool. Anyway, I tend to favor anything that would make Loral harder to take over at this point.

Regards,

RS

In way of disclaimer, I tend to vote against most 'management' propositions - I think they vote themselves too many perks as it is. Anyone want to try to defend a 50% pay raise after Loral's stock performance last year?

I couldn't agree more.
