Jim,

If a shareholder of record before 2/5/99 I think you should have. Did you get the earlier FSAAA letter? That was reportedly mailed several days AFTER the proxies were, using the same transfer agent(for mailing services) as Firamada.

Suggest calling your broker and asking where it 'tis.

Keep in mind, assuming your shares are in street name, you have to receive your "ballot" (not an official proxy), fill it out, mail it back to your broker, he submits your votes on an "official" proxy, that is sent to ADP for tabulation, and finally somehow that gets to Mr. Adam as secretary of the company for tabulation/voting at the meeting. Is the mail service, your brokerage, and ADP good enough for that to happen in two(2) weeks? Think about it!

Suggest keeping your eyes open for more details and options from FSAAA.

Jim: I am aware of at least one other individual who has yet to receive the letter and the proxy. His broker is Dean Witter.

I still have not received my letter (my broker is PaineWebber).
