Robert, once some conversion takes place, CC then possesses some quantity of common stock, the sale of which is then governed by the rules of the contract. So the answer to your question, IMO, is no.

I think the statement means that CC has the listed restrictions as long as the price of the common is < $ 12.00/sh, but that no restrictions whatsoever apply if and when the stock is > $ 12.00/sh.

Hi Robert, this proviso has been around a while. Limitations are placed on sales by CC as long as the share price is under $12. They can sell up to 30,000 sh. per day provided daily volume meets the minimum specified, otherwise they can sell lesser amounts based on the formula.
