Yes, I do prefer using the word trust. I would even go as far as qualifying it as a fiduciary duty. The company has the duty of divulging any information (by way of public statements 'PRs') that an 'average person' would need in order to take an informed investment decision.

IMHO information on the preferred shares is a very large piece of the bigger picture.

Let's presume the following is the company's capital share structure.

10,000,000 authorized common shares.
These shares carry all the ordinary rights.

1,000,000 authorized category A shares.
Each category A share allows it's holder to convert said share to 190 category B shares. Moreover, each share entitles the holder to have a 100 votes. In addition thereto, 5% dividend is paid out on these shares if the company meets the Solvency Tests...

190,000,000 authorized category B shares.
Each category B share entitles the holder to have 2 votes instead of the 1 vote entitled by the common shares. All the remaining rights are the same as the ones carried by the common shares.

The shareholders that were in before the reverse are in an even worse situation.

After the IPO the company gets no direct benefit from the share price. What's made or lost, whatever value comes or goes, the company sees none of this, only the shareholders.
