I think the deal was very complicated, and on the CMGI thread there is a synopsis (probably many....) of the calculations. Diller offered somwhere in the 80's, and the stock was about 40 points higher(120's), or so.

I bring it to mind just as a data point for acquisitions. I think QWST would take a hit, stock wise, if it was an acquirer (of say, a Sprint) vs an acquiree.

Anyway, watch PCS. They will be a big beneficiary (or so WS thinks) now that the Erickson-Qualcomm turf-war is ending.
