It is not at all unusual for insiders to unload prior to a take-over. Insider sales are not permitted in the window between cutting the deal and the final combination. In addition, employee options are often frozen for some period after the deal closes in a pooling deal (I don't know if this is a requirement or not). For example, Ascend insiders options will convert to LU options, but will not vest for 6 months after deal close.

Furthermore, senior management attrition (a la Manire, Sege, and Spreng) is a harbinger of bad times, restructuring or a take out. Often senior managers realize there would be no room for career advancement once the company is taken over, so better to bail early and avoid the non-compete clauses and lame-duck caretaker job descriptions that often come with being acquired.

I am not saying that I have heard anything about 3Com being taken over, but I think the piece parts of the company are worth more than the whole.
