the idtc case is closed. next victim.

the following is a provision from idtc's stock option plan. the term "related entity disposition" means a spinoff. the two year period between 1998 and 2000 refers to the SEC's pooling rules. the following provision offers absolute proof that idt was preparing for a 2 step, spinoff, merger.

we have no way of knowing if this is still in the works. however, IMO, this, or some other better alternative must be close at hand.

this also explains the long delays. this transaction requires SEC approval for the pooling issues, and requires IRS approval to make sure the transaction is not taxable to us.

Question for KSE, H60: this seems so obvious, i am wondering if i am the last person on earth to see this. the concern i now have is whether wall street already knows this and our current $17 price already reflects the upcoming transaction. please comment. <<

bingo. at first, before reading the proxy
statement, i was viscerally inclined to be
hostile beçause it was done with little
notice to shareholders, prior to an annual
meeting that i thought was absurdly scheduled
for the week before Christmas.

then i read it, and light bulbs went off in
my head. zippety do da, it became clear to
me in general terms, it was only a matter
of time and the exact structure of the deal.

everyone should read your post, and the excerpt
very, very, very carefully about vesting. that
was the giveway to me. also note the relation
with stock price....the fact is that this whole
deal does not have a helluva lot of value to
management until the stock price gets above 16
and it really doesn't have much value until
the stock gets above 22, in terms of serious
money.

the current stock price does not reflect the
major upcoming deals. it reflects a post
earning telecom stock price of 12 to 14 dollars
a share, until the networking problem is solved
and another 4 dollars or so for the Netscape
deal. The Netscape deal is incredibly important....I have posted this repeatedly
and it is true. Every investor should make
sure to read it carefully because it explains
a lot about what will happen next.

Two other points. First, those in the market
who have placed their bets have already done
so. There was a ton of buying between 10 and
12....that is why I repeatedly posted then that
the stock was a buy because the money was coming in. Major, huge, accumulation.

Second, there is a second group that is waiting
in the wings. I call them the "show me the
money" group. Let's be blunt, there is a
credibility issue with this group with all
of the delays. These people have their eyes
on IDT and have for some time, but they have
been putting their money in the many other
stocks on the internet side that have had
more public confirmation of their own deals
or they have executed those deals themselves,
already.

There will be a huge surge of buying whenever
IDT formally announces its deals, and how high
the stock price goes, and how long it stays
high, depends on how powerful the corporate
investor and spinoff/ipo/dividend/switch/
bandwith deals are.

I cant predict how high, or how long, until we
see the deals. But at first there will be a
killer short squeeze, and a short term long
squeeze and market maker squeeze....if the
deals are indeed substantial....as buyers
surge in at the same time, and sellers will
be few and far between, at least for the
first few days.
