National Challenge Systems Inc. announces NCS Holdings Limited to acquire additional compactors from Waste Management, Inc. TSE Symbol: NLC HAMILTON, BERMUDA, March 29 /CNW-PRN/ - National Challenge Systems Inc. (the ''Company'') today announced that NCS HOLDINGS LIMITED (NCS) of Hamilton, Bermuda has entered into a letter of intent with Canadian Waste Services, Inc., acting for its parent, Waste Management, Inc. (WMI) to purchase from WMI its waste compactor fleet located in the northeastern region of the United States. The initial transaction will comprise around 2,500 compactors from the New England area. This will very shortly be followed by additional purchases from New York City, New York State and Connecticut. The total number of compactors to be purchased is approximately 5,000 from the six state area. WMI is the largest waste company in the world. The Company will amalgamate with NCS following the Company's continuation to Bermuda as previously announced. This purchase by NCS follows the Company's acquisition last year of the entire Canadian compactor fleet owned by Canadian Waste Services, Inc. (CWS). The terms and conditions of the NCS purchase in the United States will be an extension of the arrangements in place between the Company and CWS. The Company currently owns approximately 2,500 compactors in its rental fleet and is the largest independent owner/operator of waste handling equipment in Canada. The Company's stated objective is to become the largest independent owner/operator of compactor rental waste handling equipment in North America. As previously announced, the Company has an exclusive master distributor agreement for North America to rent, install and service patented and proven organic waste disposal units which process organic waste produced at food handling facilities - the end product of which is used as a soil conditioner/amendment. The primary users of the organic waste disposal units are grocery stores, hotels, restaurants, hospitals, universities, airports etc. There is no other competing technology known to the Company. The Company believes that this process has enormous commercial potential. NCS is in negotiations to acquire the world rights for this technology. While this purchase represents an important addition to National Challenge Group's rapidly growing compactor waste handling rental fleet in North America, NCS continues discussions with a number of companies with the goal of enhancing its position in this market sector. The Company is also pleased to announce that Victor Rice of Buffalo, New York, the Chief Executive Officer of LucasVarity plc., has agreed to join the Board of Directors of the Company. LucasVarity designs, manufactures and supplies advanced technology systems, products and services to the world's automotive and aerospace industries. A public company since 1994, the Company was incorporated in 1990 and has grown to be the largest distributor of recycling, waste handling and compacting equipment and systems in Canada.
