Computer Associates to Buy Platinum Technology for $3.5 Bln

Islandia, New York, March 29 (Bloomberg) -- Computer Associates International Inc., the No. 4 U.S. software maker, agreed to buy rival Platinum Technology International Inc. for about $3.5 billion in cash, to broaden its product line.

Computer Associates said it would pay $29.25 in cash for each Platinum share. That is more than triple Friday's closing price of 9 7/8.

Islandia, New York-based Computer Associates said it plans to link its products with Platinum Technology's consulting services, especially in Europe. Computer Associates also wants Platinum's software for managing data and technology.

The acquisition of Oakbrook Terrace, Illinois-based Platinum is expected to add 25 cents a share to Computer Associates' earnings in the first 12 months, excluding charges.

Computer Associates will fund the acquisition through a $4.5 billion credit line with Credit Suisse First Boston Group.

Trading hasn't resumed in either company's shares after being halted for the dissemination of the news.
