At first I was very concerned that the April 23 date will just
postpone "imminent" deals by another month. But I don't
think so now.

If you look at the wording -- "The offer will remain open
until 12:00 Midnight, New York City time, on April 23,
1999, unless otherwise extended" -- that is how long THE
OFFER STAYS OPEN. It says nothing about when the
TENDER OFFER WILL ACTUALLY OCCUR. For all we
know, they already have the majority -- and probably do
(hence the designated tender price).

I don't think the date means anything this time -- it just
frames the tender process. IMO, this release could be an SEC
formality and the majority is in, the consents therefore given,
and the green light to management.
