Lilian, each shareholder will emerge from the spin off with the same percentage ownership of both companies as they had in one before.
The minute that the shares are trading the Market will determine the share price of all trading shares.
My own prediction is that the market will give more for the two separate than together. But we will both have to wait and see.
I see no hint of unfairness in this for the shareholders nor any impropriety. All shareholders will have an opportunity to vote on the issue and I expect that it will be enthusiastically endorsed.
Diamonex will start trading with about 5 million shares fully diluted as opposed to 40 million if each share was split into 1 Winspear and 1 Diamondex. I still like the name Big Rock Resources myself.

Lilian, you have taken only two articles of several. The preferred shares are later exchanged for common. This B.S. is necessary to get around stupid Canadian tax rules. For each Winspear share you own now you will receive one Snap Lake Mine Winspear share and one eighth of a share of the new development company. Cash that Winspear now has in the bank will be divided amongst the two companies in some equitable way,...who cares how because the first thing the exploration company is likely to do is have a private placement to fill its coffers with money to explore the many properties Winspear has in the NWT.

Snap Lake Winspear will then be free to fight Aber and raise money to mine the rich Snap Lake deposit. kidl assures me that Aber is about to lose more of Snap Lake, so you are about to be a proud owner of a greater share of the richest diamond mine in the world, and the same percentage of shares of an exploration company with mineral trains presumably leading to rich diamond bearing pipes to rival Ekati's and Aber's developments.
