Strategic Alliance with Microsoft

In January 1999, Microsoft Corp. and NTL Inc. announced an agreement to jointly develop new, broadband services for delivery to customers in the United Kingdom and Ireland. Microsoft has made a $500 million investment to accelerate deployment of high-speed voice, video and data services. The investment is in the form of in NTL Convertible Preferred Stock, convertible at $100 per NTL share. In addition, Microsoft received 1.2 million five-year warrants to purchase NTL common stock at an exercise price of $84 per share.

From 31 March 1999, NTL delivers the country's first interactive TV (iTV) service on schedule, offering a comprehensive selection of home shopping, news, sport, travel and local information sources to viewers across the nation. The revolutionary iTV service is backed by a number of leading retail and online information providers, including Tesco, ITN, Flextech, Sporting Life, Thomson Directories and BBC Worldwide's online division beeb.com.

The gateway to the iTV service will initially be available over NTL's TV-Internet set- top box. The interactive channels will also soon be offered via digital cable and digital terrestrial TV. TV viewers will be able to buy CDs, books, flights and groceries online, as well as keeping right up-to-date with the latest national and international news, sport information, film/music reviews and gossip at the push of a button. The service has been designed to be simple and intuitive to use, and retains a 'televisual' appeal - viewers can even continue to watch TV while shopping for up- to-the-minute bargains.

Jeremy Thorp, group managing director of NTL Digital Services says: "I'm delighted that we have fulfilled our promise to bring the first interactive TV Service to the UK and we're very excited by the challenges that lie ahead as we roll out on digital TV platforms in the coming months. Multiple platforms (over TV-Internet, digital cable and digital terrestrial TV) and national coverage put NTL in a unique position to reach directly into many millions of homes via the TV set. No other interactive service can offer such an extensive reach, and the ability for businesses to 'widen their net'.
