Read again maintenance. Winspear wrote the letter to Aber declaring them to be in default of notice (and cash) to participate and therefore diluted in accordance with the JV contract.
Those provisions are in the contract and have been enforced before.
Aber's arguement is what? It is not fair. Winspear did not draw up the notice for them to sign? They were too busy thinking about a spin off company and wondering what to do?
I do no think that those arguements will cut it.
The judge will not vary the contract.
