very simple reason for the extension.

Why yes, but since you're kinda slow, I'll lay it out for you:

1. Early last year AZNT hired an unnamed firm of accountants to produce a 10KSB for 1997. For one reason or another, work on this went slowly, and many extensions were requested.

2. The 10K was actually ready in July, but AZNT declined to pay the accountants, who in their turn declined to sign off on the financials.

3. In November 1998, AZNT at last filed said 10K with the SEC. The accounts still hadn't been paid.

4. In February 1999, AZNT management "decided" to find a new accounting firm.

5. On 12 March, Mike Sylver assured shareholders that preparation of the audit was "well underway".

6. On 31 March, in an 8K submitted to the SEC, AZNT announced that new auditors had been engaged in "late March", and for that reason requested an extension on the filing. The "prior accountants" still have not been paid.

Not only is it legal, it's very smart.

Smart? How so? It's "smart" to lie to shareholders? I'd call it "material misrepresentation". I'd also call it "stupid".
