TSI TelSys Corp TSI Shares issued 9,754,200 Mar 30 close $1.25 Wed 31 Mar 99 News Release Mr. Paul Sevigny reports The company has declared that it intends to seek approval from its shareholders to become a United States company. If approved by the shareholders, the company would move its jurisdiction of incorporation from the Province of New Brunswick to the State of Delaware. As part of this process, the company has filed a preliminary registration statement with the Securities and Exchange Commission of the United States. Upon receiving final approval of its registration statement from the SEC, a special meeting of shareholders of the company will be called at which shareholders will be asked to pass a special resolution authorizing the discontinuance of the company from the Province of New Brunswick and the continuance of the company into the State of Delaware. If approved by the shareholders, it is anticipated that the continuance would become effective as soon as practicable after the special meeting.
