Dear Investors.

I am pleased to present the following overview on Caldera Resources Inc. The
company is currently engaged in negotiations with at least two major mining
groups with anticipation of securing a joint venture to fund and further
develop the portfolio of properties described below. We anticipate that the
management will secure a deal with a major within the next 30-45 days.

We feel that there is a tremendous opportunity in Caldera Resources by
accumulating at these price levels.

Caldera Resources is one of the most active diamond exploration companies
operating in Australia. The company has two major exploration areas centered
in the Abminga region of northern South Australia and the east Pilbara
region of Western Australia. Caldera has been exploring the Abminga region
for the past five years and is one of the major tenement holders in the
area. Results to date confirm kimberlite pyroclastics reporting a suite of
indicator minerals and two macro diamonds underlying magnetic anomalies.

The four Pilbara projects were acquired through a merger with Remington
Resources N.L. The terms of the merger were the issue of one Caldera share
for every two Remington shares resulting in the issue of an additional
12,756,252 Caldera Resources Inc. shares.

Reconnaissance aeromagnetic and loam sampling has delineated high priority
targets reporting the presence of kimberlite indicator minerals. One of the
Pilbara projects is currently under joint venture with Stockdale
Prospecting, the Australian subsidiary of DeBeers.

ABMINGA DIAMOND PROJECT

In the early 1990's, the Abminga region of South Australia was targeted for
diamond exploration on the basis of favorable regional geology and structure
and historical reports of alluvial diamond in a major regional river system
that drains the Abminga region.

Caldera and its joint venture partners have drilled 16 anomalies and
confirmed the presence of extensive horizons containing kimberlite
pyroclastics and volcanogenic sediments that report abundant kimberlite
indicator minerals including chrome spinel, picroilmenite, G9 and G10
garnets. Two small macrodiamonds were recovered from testing of one anomaly.

The pyroclastics and volcanogenic sediments are incorporated into the normal
Mesozoic basin sedimentary stratigraphy. The age of kimberlite volcanism
appears to be late Creataceous. A program of three diamond drill holes in
1998 indicated the area has similar geology to the Forte a la Corne
kimberlite field in the province of Saskatchewan, Canada.

Results to date have define the most prospective areas likely to host the
source pipes and this has allowed Caldera to reduce its original tenement
holding from over 5,000 square kilometers to 3,300 square kilometers today.
Caldera remains the major tenement holder in the Abminga region.

Remington Resources Inc. - The Pilbara Properties

In December 1998, Caldera Resources Inc. completed the acquisition of
Remington Resources Inc. Prior to this acquisition, Remington was a
privately held exploration company.

Remington Resources was formed to carry forward exploration in an area on
the north-eastern margins of the Pilbara craton selected on the basis of
conceptual regional geological and structural modeling that recognized the
structural similarities between the diamondiferous Kimberley Provinces with
those on the margins of the Pilbara region. The conceptual model was the
result of many years of regional geological and structural investigations.
Remington had been exploring on its own properties in the Pilbara region
since 1995.

The principal exploration project is a group of Exploration Licences
centered approximately 440 kilometers east of Newman, the nearest of the
major iron ore towns in the Pilbara region. Another project area is centered
approximately 400 kilometers northeast of the regional mining centre of
Kalgoorlie.

Initial reconnaissance surface sampling carried out by Remington on selected
prospective areas reported kimberlite indicator minerals from five sample
locations which Remington has designated as four distinct project areas.

Validation of the exploration concepts and confirmation of the diamond
exploration potential allowed Remington (Caldera) to proceed with a major
program of tenement acquisition. Remington (Caldera) now holds exploration
licenses in five principal project areas covering 1,470 square kilometers.
Aeromagnetic surveys on these areas totaling 18,480 line kilometres
identified a large number of anomalies with characteristics consistent with
kimberlite/lamproite pipes. Surface sampling of some aeromagnetic anomalies
has confirmed the presence of kimberlite indicator minerals.

The preliminary results from one project area, the Tabletop Project, have
been very encouraging. Stockdale Prospecting Limited, the Australian
subsidiary of De Beers, have shown interest in Remington's work on Tabletop
Project and have recently entered a joint-venture with Remington to explore
part of one project area. The joint venture participation of a diamond
exploration group with de Beer's stature added considerable value to the
Remington acquisition.
