I'll tell you mskihntr, I am impressed with what you know and you explained it all very well. Oh and by the way, I read over on RB that someone tried calling Marty and he was headed out to a function. I'll bet he is not worried either. It sure would be something if this dreaded placement had been paid off in the 1st quarter. Anyone think about that?

Just found this in the debenture Purchase Agreement. Now I understand why the 17MM shares in escrow.

Section 6.2. Reservation of Common Stock. As of the date hereof, the Company has
reserved and shall continue to reserve and keep available at all times, free of
preemptive rights, shares of Common Stock for the purpose of enabling the
Company to issue the Conversion Shares pursuant to any conversion of the
Convertible Debenture; such amount of shares of Common Stock to be reserved
shall be calculated based upon a Market Price for the Common Stock under the
terms of the Debenture of $0.10.
The number of shares so reserved from time to
time, as theretofore increased or reduced as hereinafter provided, may be
reduced by the number of shares actually delivered pursuant to any conversion of
the Convertible Debenture.

1.7MM used by company divided by 0.10 = 17MM shares in escrow.
