Bob: I don't disagree. But, typically, the purposes for which the s/h authorization is sought are very broad to afford the B/D the maximum flexibility. To reference a financing does not necessarily mean that a financing is now contemplated. If SEPR did effect a 2 for 1 (as opposed to a 3 for 1, which is, of course, possible), they would have ample additional authorized but unissued capital stock for other purposes, e.g., expansion of employee stock option plan, acquisitions, etc. regards.
