Since we don't know otherwise, I would have to say the PR is right and we only own the Technology. I'm not sure what difference it would make. Maybe it's better this way because if we are only buying an asset then we don't have to worry about any liabilities J/L may have.
I'm sure that all the details will be forthcoming. We'll just have to wait and see. Maybe Mike is waiting until the AGM to explain the agreement since it's only a month away.

Seems to me J/L will make out even if their technology fails to work for MGAU. It's nice to be paid up front. Almost as nice as receiving money in the mail ;)

It's not unusual when doing an acquisition to only acquire the assets.

That way if they have any debts or other baggage outstanding ... you aren't liable for it.
