Whether or not Newco (or whatever they eventually decide to call it) technically comes into existence is so far from the point it is downright comical. If SRCM can arrange to funnel enough of their shareholders' money into TV Guide's coffers I'm sure TVG will let SRCM call the arrangement whatever they want to. I don't need to throw up "more" hurdles. They already exist and are spelled out in the 10-K, at least the ones SRCM had to mention. Say 'hi' for me to your Yahoo! followers, for whose "benefit" this little conniption fit of yours doubtless is.
