This is a good post from the Yahoo thread..A reiteration of Nasdaq requirements and an analysis..... NASDAQ: Nat. Market (YHOO,MSFT,AMZN) requires $5 by: rmcint5442 6030 of 6032 Mike, here is that link to Nasdaq Listing requirements: I think the Nasdaq has two tiers above BB-OTC. PNLK doesn't appear to need the interim lower tier (SmallCap Market) to sort of get their wings or increase the number of Market Makers trading their stock. Our company was 6th in volume Thurs on the BB-OTC and from here, the word is out on PNLK. Looking at the Listing Requirements for the so called National Market: nasdaq-amex.com The Initial Listing requirements biggest hurdle is $5 Minimum Bid Price. "Alternative 3" is the most likely scenario. "Alt. #1" requires Pretax Income of $1mil. in latest fiscal year and Net Assets of $6mil. I don't think the subscribers will be at that level until later this year and I don't think this company actually owns much of anything you could call Tangible Assets (in fact, I think the leasing of offices and the ATT alliance network infrastructure is probably advantageous -Lower Overhead). "Alt.#2" is a little different: higher Net Assets required, but no Pretax income needed, the kicker is the 2 years of Operating History. We're not at two years yet. But we will: PNLK has redesigned their whole site. They went back to the drawing board when V2.0 was less than they had envisioned. This is an example of the quality management we are fortunate to have. Also, the effect and influence of Rare Medium's E-business experience on V3.0 should not be understated. I've read they are an industry leader in Web Commerce development with top international clients and a recently announced member of Microsoft's Commerce Partner Advisory Council (No wonder the choice for SQL Server 7.0!). "If you build it (right), they will come (to make a lot of money). Alt.#3 Initial Listing is the done deal @$5. The 15c2-11 puts shares outstanding at 42mil. shares and minus the restricted 16mil. shares, it puts the float at 26mil. shares. So, @ $5/shr, that certainly exceeds the $20 mil. Market Value the float needs to be. Market Capitalization goes over the $75 mil. threshold with $210 mil.(42 mil. shares outstanding). The other component of a Nasdaq listing has me the most anxious: Reporting! I've also read that their accountants were hired partially based on their experience in the AICPA SEC Practice Section peer review program. PNLK seems to have had this in their game plan from the beginning and it further shows how professionally this company is being developed. So Nasdaq will happen, just don't expect it this week --next week maybe! (no, just kidding of course). I don't think it would be too hard to reach $5 after Ver. 3. The foundation for filing could be in place this summer IMHO. FWIW, --RMc --------------------------------------------------------------------------------
