Jim: UPDATE ON THE HEARING DATE, THE ANNUAL MEETING AND THE TRO. 1. The hearing date for the appointment of a Receiver has been continued from April 5 to April 12. Reason: The new Judge will not be officially installed until April 7. We will be requesting a later date to allow us to depose witnesses, probably will be the week of April 26. 2. The annual meeting is still scheduled to occur on April 7, 1999 at 9:30 am PDT in Long Beach CA. I plan on attending the meeting and asking questions, etc. 3. FSAAA, through the six Plaintiffs that have petitioned for the appointment of a Receiver, filed a Temporary Restraining Order (TRO) with Harris County on March 30, 1999 to enjoin the annual shareholder's meeting. The alternate Judge left Houston on April 1 without signing it. We appeared today in front of an anciliary Judge today at 10:00 am and he would not sign the TRO. Grounds: He did not disagree with our position that the shareholder of record date of 12/31/98 was in violation of the Texas Business Corporation Act but he stated that the shareholders have other remedies available to them, e.g., if damages accrue to the shareholders resulting from this annual meeting, then the shareholders are within their rights to sue the directors and officers for those damages.
