Possible NASDAQ Listing for XNET? I have an Email to Ernest Cheung inquiring if a change in the listing from OTCBB to NASDAQ is in the cards for XNET. I haven't heard back from him yet & I'm not sure whether he would feel comfortable disclosing this, even if it were being contemplated. (I also know that he's been quite busy closing the NetNation deal for CBET, due 4/7) It is my understanding that all that would be required would be a sustained stock price of >$3-4 for 30 days, filing of a SEC 10 SB/A financial disclosure, and a "quiet period" (during which time the company puts out no significant press releases. We already know from previous communications that the SEC 10 is being prepared, well before the June,2000 deadline & they definitely have been in a quiet period: (Excerpt from E. Cheung Email) "Hi: Our Web site "www.xinnet.net" will be up very soon. ..... A Form 10 filing is in the works and will be filed shortly, when it will be approved will depend on the SEC." I've searched the EDGAR database at SEC, but haven't been able to come up with anything yet. I also wonder if this is why there has been a delay in the opening of the IR Web Site, since we know it's otherwise ready. (was briefly up on 3/30 for 15 minutes) What would a NASDAQ listing do? It would allow analysts to start coverage of XNET & fund managers to consider investment in XNET (They typically don't consider OTCBB stocks due to liquidity & disclosure issues... though this is due to change once the SEC disclosure rules are phased in & liquidity has not been a problem lately with XNET's daily volume > 1,000,000 shares. XNET would certainly be added to the IP Equity Internet Microcap INDEX, for which it's already being considered. It's obvious also that the Insiders in XNET haven't been selling shares despite the 1000% increase in stock price in 3 months. There should be no restriction on their shares now (typically 12 months), since Placer was changed to Infornet on 3/3/98. This leads me to believe that they consider XNET currently is fairly or under valued. There also have been some fairly large block purchases recorded over the past several days. This is pure speculation on my part, but time will tell if I'm correct. For those of you who have been following my posts, I'm long in XNET and have been for several months. Any Comments would be appreciated. Frank
