I take this to mean only that there is the minimum possible chance that the number of shares [not warrants] in the placement will be adjusted upward.

Razor, I see nothing wrong with this provision, it takes sometime to do the S-3 and if there is a maelstrom coming, the investor should have the right to adjust the price to the date the registration is effective.
