Hmmm, let's see how wrong you may be;

"Have you ever played a back door stock?"
-yes, DBCC in $11 out $27 and $36, then short to $16
(date back on the thread, you'll see plenty of me there)

"Time is one of the key issues in playing these stock."
-I've made more money on NAVR getting in and out
three times in the teens than any buy and holder here.

"The only thing to worry about is if the company will file the S1"
-they did (devoid of critical details), where have you been?

"and after that will they take the IPO to market."
-they may, and the deal might just suck for NAVR shareholders
-they may not, since other than cashing in, they don't need to.

Both are out of the control of the shareholder.
-you got that right!
