Whalers post......
I am about to go into a "long winded yarn" to attempt to glue together all the events that have occurred since our trading spike back in Jan 8th-11th 99 To begin lets look back at those days……….. which I have stolen from Geoff 's post.
"January 7, 1999: volume spikes to 369,960 shares; closing price rises six cents (from .53 to .59) January 8, 1999: 1,108,464 shares traded, price gains 36 percent to close at 80 cents. January 9, 1999: 1,437,750 shares traded; intraday high represents an 89 percent gain compared with the close on 1/7/99.
April 1, 1999: volume spikes to 384,650 shares; closing price rises 16 percent (from .74 to .86). April 6, 1999: ??????????????? April 7, 1999: ???????????????
First of all it has been about 90 days since the trading spike. Notice that in the 90 day time frame that has passed, we know that major events have and are occurring. Two events I refer to are the Bean evaluations and the Form 20F filing. From previous discussions with Sideware's SYD rep, we know that an evaluation agreement once entered into after talks, takes 60 days to completion. I suggest that as Owen said in his "hodgepodge appease the VSE" NR of Jan 11th, we were "talking" right then and there! Jan 11th 99 NR:
"Owen further says, "The Company is moving very quickly to position itself in the e-Commerce business. We have formed a sales and marketing alliance with Science Applications International Corp., we are an IBM e-Commerce business partner and we have aligned ourselves with Sun Microsystems Java Development programs. As we move forward we expect to grow our relationships with these major corporations. At the same time we are using these relationships to develop a Strategic Customer base. Though there are no guarantees that an agreement will be reached we continue in negotiating an evaluation agreement with a major Internet E-commerce company. As soon as the agreement is signed we will be issuing a press release".
After having put out this hasty NR, I believe SYD narrowly missed a trading halt from the VSE. This would be for the purposes of explaining current company events that may explain the unusual trading in those 2-3 days. So in hindsight, I would say from the NR that what I have cut from the release, is the only matter that comes close to explaining a spike to $1.00 intra-day and a total of 3 million shares moving. Lets be serious it wasn't the part about Windows to Wallstreet……… (which I have not included). People we know that Owen has played it safe with those statements and touched on any business that may cause such a stir. In doing so he keeps the VSE happy and covers his butt. Now you decide which one fits! The following 90 days passing since then have afforded plenty of time to have some "negotiation" first, and a little left for finally taking the 60 day test drive. It is my opinion that anyone in their right mind would also want to see the HTML version up and running too. It is most likely resulting from on-going requests during these evaluations that Bean has developed further.

"SIDEWARE LAUNCHES LIVE E-COMMERCE CUSTOMER SERVICE FROM IMPROVED STOREFRONT
FOR IMMEDIATE RELEASE - January 14, 1999
Vancouver, BC -- Sideware (VSE symbol: SYD) will launch its improved storefront, featuring Dr. Bean and showcasing e-commerce value-added solutions integrated with IBM middleware on Monday January 18th, 1999. Any company that plans to create a customer-to-business web site can take advantage of Sideware's engineering capabilities."
We have since seen Bean grow from the early beta Java plug-in to the latest and greatest , HTML. No longer does it require the lengthier Java plug-in, thus allowing the HTML version of Bean to run on old browsers and thru firewalls. The door is now WIDE OPEN. We have seen the need for the registration and log-in eliminated. We see it run fairly smoothly with IE
(= AOL) or Netscape browsers. We see the actual CSR interface improve nicely in a short very period of time.
Since then, we have seen Bean ship dates come and go. Jan 1st ,Feb 1st , Mar 1st…..they keep moving the goal posts. Another improvement comes along…..wait wait…it's got to be perfect right Owen? Fine by me folks also. We won't be going out 'till it's just right no" half a**ed stuff" here, the big boys won't allow that. Almost time for the Prom….

SYD has essentially made the core technologically perfect and it's now simply a matter of polish. Many are now presently evaluating Bean. I have heard that its quite a number too. Now we must sit and wait as the eventual conclusion of the many Bean evaluations occur. It's simply a matter of first in - first out. 60 days will have passed and poof, you either buy it or return it before the clock strikes 12. Who will be named and how many is what lies ahead…..those inevitable info leaks will occur, just as they did Jan 8th….11th . We are seeing it this week. Accumulation and positioning by the informed or keen investors.

WOW.... now there's something to chew on.. Even Agora can't resist pointing out the significance of that paragraph to us simple folks at SH..LOL For further emphasis I will repost a clip of e-mail from Jim Speros. In the clip he explains a 99 revenue prediction of $6.1 million . The prediction along with others was made in a Washington Times article. Are we stealing the thunder here in this clip?
"These projections are based on our IBM BesTeam VAR channels and our SAIC govenrment contracts that have already been awarded to SAIC. Also, we plan on finalizing several evaluation contracts by the second quarter of 1999 which should bring in significant revenues, not to mention credibility in the marketplace. This is all that I can share with you at this time. This parallels our business plan which is to first establish our business partners: IBM, SUN, SAIC, and then use their channels and existing client base to integrate our products.
Thank you for your support and interest in Sideware.
Jim Speros"
April fools day today and we seem to be sensing some urgency in the market place. The show is now 9 trading days away and to begin the run in, we have seen many news releases issued. Each and everyone demonstrating the serious side of the US office and it's determination to become a force to be reckoned with in the E-Commerce arena
To start off, I must go back to the first US related NR . Our venture south begins here.

Vancouver, BC -- Management is pleased to announce that Mr. Richard S. Simpson has been hired as Manager Corporate Relations for Sideware Systems Inc. where he is responsible for developing and implementing an effective investor relation's strategy. This strategy targets a broader investor base in order to elevate Sideware's presence in the investment community.
Now isn't that a nice starting line up. These people are all "well heeled" in their respective fields and we see Jim has hand picked some excellent "wingpeople"
Are we building a firehall before the fire or what!! Can we afford all this? ..It would be a good bet that we will!
As it has been said before, these people do not come cheap. They do not come with out their own "sureness" of making a successful career choice moving into Herndon . We know in fact that so far one new employee has even chosen to commit to a PP for some warrants in his new place of employment. There's a vote of confidence not to mention a little career incentive. Lou Capannelli bellies up for some more to hold 457,297. He had 160,000 from the last PP approved Jan 7. What made Lou go in for twice the amount of his last helping?
Now to get to another 60 day wonder that has passed while the 90 days has gone by. We must look at the Form 20F filing from Jan 13th 99.
"SIDEWARE FILES VOLUNTARY REPORTING DOCUMENTS WITH THE SECURITIES EXCHANGE COMMISSION
FOR IMMEDIATE RELEASE - January 13, 1999
Vancouver, BC -- Sideware (VSE symbol: SYD) filed its FORM-20F disclosure document with the Securities Exchange Commission. Similar to a US Domestic Form 10 filing, the 20F document provides a foreign company the means to disclose its business to the US Investment community in an orderly and acceptable manner."
We know from talking to the Syd Rep Jen, that this process would take 60 days if things were to go without a hitch. It would come back "without comment" as they say in the industry. We were waiting for Mar 16th at the outside, as the day to hear about our filing attempt. It turns out that there were some ruffles that needed ironing and the company lawyers were working them out. Jen tells us to "expect a further 30 days possibly" to hear then. For that matter, another 30 days will put us into the I-World (April 12-16th) time frame, that's if we had to do another 30 days. So we await that "green light"
The significance of the PP's….. I get the feeling so far that most big contributors (Placees) are either friends and acquaintances of Jim. These acquaintances canor may also have business dealings or related mutual involvement in terms of Sideware business prospects and working relationships. Jeff Lubore of Ascend has put in his own 300 grand for a PP to obtain 754,000 warrants. Since then (Jan 7 ) we see another of the Lubore clan come forward and buy into the recently approved PP also . Scott Lubore buys 360,360 warrants for 120 grand. Nothing like bringing the family on board. Dave Robison has been to the PP trough twice..the first time for 377,000 at a cost of 175 grand (Jan 7). Now he's back in the last PP approved for another 195,195 warrants costing him 65 grand. As I said before our boy LOU Capannelli hits it hard to hold 457,297. He had 160,000 from the last PP approved Jan 7. His tab is now at 155 grand in SYD.VSE Lastly, our own homebody George Tsiolis from Agora puts in for 100,000 warrants at a cost of 35 grand. Now we have to presume that George had a peek into the SYD crystal ball. Shall we really get adventurous and speculate on Jerry Wenger's role in the SYD scene……lol We know he's stock guru of sorts . He had his own Radio show , a newsletter, and even his own website. All of which were stock and investment related. Looks like he got into some do-do a while back. I can't even guess where he fits in, unless he will be a promotional vehicle for SYD USA. We do seem to lean towards radio shows ? Failing this kind of association or function, then I wonder who hangs with this guy? Oh well lets move on….. There is also the big investment in SYD by none other than the new kid on the block JIM SPEROS. I show him with 600,000 on the Jan 14 PP at a cost of 168 grand (good deal) . We know he has a pile more but I won't bother looking. Also there are the MANY officers and insiders at Sideware it self…Owen etal
I am happy to see the good ole boys from VA committed. Jim has obviously convinced many people its a good bet!
So what lies ahead going into the show?
LOL well I would say lots could potentially come snowballing down on us poor investors. If this weeks NR's were any indication of the PR machine, next week going in, will be fun. Owen gave us a release per day for each of the 5 days during a show a year or two back. It looks like that again.
What's possibly outstanding:
Bean release date…………..long overdue!.. Version 1.0?
More hiring news for the US??
A promotional strategy for Bean marketing….the radio show ads are over what's been done now?
Evaluations completed…..someone has to vouch for SYD bigtime…who or how many are unknown what we do know is a "major Internet E-commerce company" is playing with the Bean! Will we hear now or later?
Form 20F could be around the corner ….nice to have for walking into April 12th show time!
Too many pokers in the fire……exponential growth in this field of the internet also means exponential possiblities and applications.
I will wait and see what Jim has cooked up for the planned News Conference . It is shaping up to be quite an event. I must add that I do not believe this is the only shot at SYD success. We are on a journey folks and now the company is starting to move along. We have all the ingredients for success in front of us …………..shall we begin??
Do any of you recall when we were 2 bucks on the hope of Lotus deals? The company didn't even look like 10 % of this present day snapshot. We are seriously undervalued IMHO.
Please this is by no means meant to be advice for anyone! It is just my honest opinion. I have tried to glue our events all together logically and with a little reading between the lines! I may be a little too positive folks, but I think the market is starting to agree. Sideware the best kept secret is about to become known.
