Back in Nov 1997 (I believe) Machala set off a panic when he sold off
about 90% of his holding, with everyone screaming about insider
trading, and one Analyst changing recommendation to strong sell solely
on the basis of Machala's sales. I heard a lot of "you'll see, just
wait..." about what Ed knew that we didn't. Ok, so an officer selling
off 90% of his holdings can be rather disconcerting, but I'm still
waiting to see what Ed knew that the rest of us didn't.

More than a few times since then I've read postings like yours that
comment about the large amount of insider trading that is going on.
Frankly, I think I need some education on this issue. I look at the
numbers, numbers readily available over the Internet (no company
secrets here) and can't see anything remotely sinister looking to me.
Can you (or anyone else) please explain to me how an interpretation
of insider trading can be made based on the available information?
I'd really like to know so I can recognize it when looking at info
for other companies. I'd also really like you (or anyone else) to
identify some other billion-a-year companies that have less inside
selling.

Also, back in May of 1998, P. Johnson planned to sell 10,000 shares
of an unknown total (with no record of the sale that I can find), and
J. Johnson planned to sell 10,000 shares of an unknown total back in
June (no sales record found).

Yes, there is no record of any of them purchasing any stock, just as
there is no record of any of them exercising any of the thousands
upon hundreds of thousands of options they collectively own. Frankly,
if I owned as many shares of APC as these guys do, I'd hardly be
looking for buy opportunities.

Some of the inside sales you have seen are by people that own a lot of shares. If you own 9 million shares and you sell 200,000 to diversify a little. That doesn't bother me and thats what people in this company have been doing. Now if they owned 9 million shares and sold 5 million. Then be worried. One more thing, with Y2K coming. I think lots of people will be buying APCC products just in case there are power problems at the end of the year. Just my opinion!!!
