make an announcement Wednesday, dispelling market speculation it was
involved in a news conference to unveil a "major" Internet media deal.
A news conference is scheduled to be held in New York Wednesday
involving chief executives of at least two companies according to a
communications firm that is hosting the event.

Market rumors have been flying in recent days that AOL could be gearing
up to announce a deal to acquire CBS Corp. .

"We don't have an announcement planned for tomorrow," America Online
spokeswoman Tricia Primrose told Reuters Tuesday afternoon in response
to a question about whether the company planned to participate in the
New York news conference.

The spokeswoman had earlier declined to comment on whether AOL was
planning to participate in the news conference, saying: "We don't
comment on rumors and speculation."

She declined to comment on potential acquisition deals.

Earlier, Robinson Lerer & Montgomery, a public relations firm with close
ties to America Online had issued an advisory announcing the news
conference.

The conference is scheduled for 10:30 a.m. EDT (1430 GMT) at the Righa
Royal Hotel in New York City.

The statement said the event, described as a major Internet announcement
in the media business, would feature, "the companies' CEOs and other
executives."

A spokeswoman for Robinson Lerer would not identify the companies
involved.

At the close of trading Tuesday, AOL stock had fallen back from earlier
gains, but was trading up 56 cents on the day at $167.50. CBS stock also
gave back earlier gains to trade at $43.69, up $1.81, both in composite
U.S. stock exchange trading."
