Minutes of Annual General Meeting of Bridges.com Kelowna, BC April 7, 1999 As many of the investors present at the AGM read this tread, many of them were excited to meet me. They all like the work that we do here by providing question and answers to each other. So, I must be extra-special nice here... I must say that I am very impressed with all of Bridges personnel. From Doug Manning to Norm Thompson, Frank Bauers, all the way to Donna, Penny, Pamela and Nicole. Very, very nice people. All of these people appear to really love what they do. I got to meet just about all of Mr. Manning's family, mom, dad, daughter, wife, and sister, Judy. It was a no-hype meeting. There is no froth on top of this story. They have the goods. I would guess around 100-140 people showed up including a lot of the staff. Doug Manning went through a formal presentation to elect Directors, appoint auditors and change the name to Bridges.com Then Mr. Manning had a Power Point presentation on what is it that Bridges.com does. It showed a quick tour of the career explorer. He pointed out that around 50% of the material published comes from suggestions from school kids. He went through the 1998 achievements and highlighted the 90% re-subscription rate. He stated that the missing 10% came from lack of money or lack of use. Bridges.com had from December 1998 to March 1999 9.6 million page views VS 8.9 million page views in 1998. He also went through the 1999 objectives which can be found on www.bridges.com Bridges plans on aggressively increase market share by adding 1 to 10 new salesman and also look at any other avenues allowing quick penetration. They will diversify their services by adding a "do you want fries with that" concept. Q&A Who is the competition? Choices, Discover, CIS, CollegeEdge Have you looked at a NASDAQ listing? The Board of Directors has instructed me to research avenues for a senior listing (procedures/cost, ect) but now decision on anything as of yet. How much is a subscription? $US 1,300 per year in US or $CDN 1,800 in Canada. Discounts are given for multi-year or multi-school contracts. How long before the new name Bridges.com is effective? We are looking at about 2 to 3 weeks of paperwork. Have you considered advertising on your website? Advertising is a touchy subject when it comes to schools. The portfolio plus service that is to be offered in the fall presents a lot of potential and opportunities for advertising. It is part of our plan. Wine + Cheese ____________ Reading between the lines ====== I believe BIT will soon get a true IR person (as Doug + Norm are now very busy answering the phone). BIT is still an untold story, as their were no institutions there, other then a few local brokers. We 're still at the Genenis of BIT ... After seeing the goods today at the AGM, after realizing the material content of CX, after seeing how the BIT people approach business and the potential.... I have absolutely no problem saying that BRIDGES.COM is .... not in 12 months, but today... a $200 Million + company. BIT is worth $20 today .... The best is still to come.
