FYI re: InfoUSA TO THE STOCKHOLDERS: NOTICE IS HEREBY GIVEN that the 1999 Annual Meeting of Stockholders of infoUSA Inc., a Delaware corporation (the "Company"), will be held on May 2, 1999, at 4:00 p.m. local time, at the Marriott Hotel, 10220 Regency Circle, Omaha, Nebraska, for the following purposes as more fully described in the Proxy Statement accompanying this Notice: 1. To elect three directors to the Board of Directors for a term of three years; 2. To approve an amendment to the 1997 Class A Common Stock Option Plan reserving an additional 3,000,000 shares of the Company's Common Stock for issuance thereunder; 3. To ratify the appointment of KPMG Peat Marwick LLP as the Company's independent public accountants for the fiscal year ending December 31, 1999; and 4. To transact such other business as may properly come before the meeting or any adjournment thereof.
