i read somewhere idtc would plan on keeping controlling interest (50.1% or more) in n2fn (we need to start thinking of the new ticker symbol) in any spinoff.

>>At the beginning, IDT will issue 23 million shares of Net2Phone and keep half for itself (11 million shares).

2) The other 12 million shares will go to current shareholders (including Jonas), who will get one share of Net2PhoneFor each 2 shares of IDTC they own.

3) Net2Phone will issue an additional 6 million shares to the public for cash to support its growth.

This will give Net2Phone a 29 million share float and a market cap bigger than IDTC. IDTC's market cap shouldn't shrink too much from here anyway, since this is where IDTC was not too long ago without a contribution from Net2Phone.<<

IMO, 1 for 2 is WAAAYYYYY high. First of all, I think IDTC is going to keep a majority interest of at least 51%. Second I think 29M shares is too much. I don't see more than 20M. Third, you left out the corporate investors--don't you expect that Softbank and the others will be getting shares?

ZD closed Friday $11 7/16 lower than their $29 high at IPO of ZDZ. They still own > 80% of ZDZ. ZD closed at 17 9/16 Friday.

If IDTC IPO's Net2Phone (looks probable, if CBS MarketWatch article pans out), Softbank will obviously get large chunk, probably 20% will be IPO'd (seems to be the going percent for IPO's lately), and IDTC will keep the balance.

Post IPO, the 20% (float) will cause Net2Phone to soar. IDTC will fall to $18 within 2 weeks, with a market cap lower than the 20% of Net2Phone internut stock. The trend is there. MALL/UBID, ZD/ZDZ...

But I'm very skeptical of the Softbank report. Supposedly they said decision would be made in about 2 weeks. Maybe this was done, as someone suggested, to boost the IPO price. Or maybe someone just really jumped the gun!
