Arthur, BOD=Board of Directors....
sometimes they're good and provide good solid advice in setting corporate direction; and sometimes they're the problem.

When Apple was struggling and doing so poorly, it was finally recognized by shareholders that half the problem was with the BOD. There was a reorganization of not only senior management in the company, but also BOD members (if I remember correctly).
