Hi Chief, good analysis, the news release said "approximately 90 %",
given the fact that SBX is now nearly four times higher than before the announcement, it may not take as many shares.

It will be tricky selling this to the market, massive dilution is always anathema.

Still; I'm holding em pending news, I don't think they would have made this deal public without some sort of strategy to accomplish closing.
