Dave, you are correct.

USWeb did amend their 10-Q for the quarters ending 6/98 and 9/98, after some discussions with the SEC. USWeb reclassified a portion of the value of warrants granted to NBC Multimedia Inc. As a result, the adjusted valuation reflect an increase in USWeb's net loss for the 3 and 6 month periods ending 6/98, of $3.1 million, and a decrease in net loss for the 3 and 9 months ending 9/98, of $7.3 million and $4.2 million, respectively.

USWeb, with the concurrence of their independent accountants, said that the original accounting was in accordance with generally accepted accounting principals, and would accept the SEC staff's view with respect to these matters.
