it is one step before a final binding
agreement. the entire deal is almost
certainly on paper in all of its
important terms. assuming one of
the term sheets is softbank, they
are finalizing their due diligence
prior to the ultimate legal step
of signing a formal agreement.

my personal opinion, is that softbank
must have virtually completed the
due diligence process and is very
confident of closure. this is pure
inference on my part, based on the
idea that their core business is
mega-deals like this. i dont think
they would publicly announce their
intention without an extremely high
probability of closure.

right now management has very high
credibility on the Street. they
said they were in serious talks with
a media conglomerate with internet
investments and softbank has now
publicly confirmed this. management
delivered.

therefore, the Street will and should
assume that management's other public
statements should be taken extremely
seriously. what they have said,
reading it closely, is that there
is one other signed term sheet,
and serious talks with at least
two other potential partners that
could lead to term sheets.

softbank has said closure within 2
weeks of last thursday. the bond
issue with heavyweight underwriters
should be resolved the next day.
the publicly stated genie offensive
comes due at that time as well.

on or around softbanks targeted date
for closure, other important events
are coming due. investors should be
aware that there is always risk and
uncertainty in the market.

but it seems to me like the armies
are gathering in the mountains, the
plan is in place, the forces are in
motion, the campfires are dimly lit
as final preparations are concluded.

we have a date with destiny.
