Hi, AriKirA. Good DD - I have one other take on the info circ. Based on my past experience, it's pretty common for a company to put in an extra paragraph so that they can issue more shares - and it really isn't any extra work - it's a simple paragraph to add and just one more vote to tabulate on the proxy. Reasons for doing so - don't want to lock yourself into a small number of shares if you do the financing since the financing would likely be more costly than a simple private placement. If they want the shares to be free trading (after a private placement) - or open to the public (not just friends and family) - they'll have to do a prospectus, which is expensive. Costs the same if you're issuing 100,000 or 10,000,000 shares. (No prospectus if you're a POP filer, which these guys, as far as I can tell, aren't). Also, a lot of times companies plan to do share issues when they're looking at acquisitions - they talk to the institutional investors at the same time and get a feel for how successful the placement would be, get interest in the issue. Timing is always dependent on the deal,other stuff, so rather than tie yourself into a time frame, it's typical to keep the time frame open 12 months (until the next AGM, which is the easiest time to request the ability to issue more shares from shareholders). If it were me, I would guess they might be looking at acquisitions, especially when you look at this note that you referenced:the consideration received is cash or other property having a fair value equivalent to such cash consideration . Also,While Angoss continues to focus on revenue growth, we have historically experienced and continue to expect significant fluctuations in quarterly results." . (Revenue growth). It could also be that management downplayed the stock rise because there is nothing worse than dealing with a bunch of unhappy shareholders who bought in on a price rise (when a lot of volume was trading) on no news and then the stock dips back down. It takes incredible amounts of time to handle their questions properly and many are speculating soley on the price/volume rise. (I'm not talking about the shareholders who bought the company because they like it - and who may have bought more during a spike but also recognized risks associated with doing so).
