John, This is recorded in the 14A (8/6/98) available on FreeEdgar. freeedgar.com The relevant excerpt (commenting on the proposed increase in shares from 40M to 80M): "In addition, the Board of Directors could use authorized but unissued shares to create impediments to a takeover or a transfer of control of the Company..." The document goes on to explain that the Board was unaware of any specific attempt. George D.
