Razor, following is the pertinent language from the PR.

"Terms of the transaction include a provision that could result in a one-time issuance of a limited number of additional shares if the market price of the company's common stock is less than $14.33 on the date of effectiveness of the registration statement. The company intends to promptly file a registration statement covering the shares of common stock."

It will be interesting to see if it can hold above the $14.33. On the theory that efforts will be made to hold it above that price, this might not be a bad price to buy.

On the other hand, I'd sure like to know the exact terms of the deal, particularly the number of the "limited" amount of additional shares.
